Acceptance of Terms
- By accessing and using Softech Computers's website and services, you accept and agree to be bound by these Terms and Conditions
- If you disagree with any part of these terms, you must not use our website or services
- We reserve the right to modify these terms at any time without prior notice
- Your continued use after modifications constitutes acceptance of the updated terms
- These terms apply to all visitors, users, and others who access or use our services
User Obligations
- You must provide accurate, current, and complete information during registration
- You are responsible for maintaining the confidentiality of your account credentials
- You must notify us immediately of any unauthorized use of your account
- You agree not to use our services for any illegal or unauthorized purpose
- You must not transmit any viruses, malware, or harmful code through our services
- You agree to comply with all applicable local, state, and international laws
Payment Terms
- All prices are quoted in Indian Rupees (INR) unless otherwise specified
- Payment terms are typically 50% advance and 50% upon project completion
- Custom payment schedules can be arranged for large projects
- Late payments may incur interest charges of 2% per month
- All payments are non-refundable unless specified in the project agreement
- Additional charges may apply for scope changes or extra features
- Invoices must be paid within 15 days of issuance unless otherwise agreed
Intellectual Property Rights
- Upon full payment, clients receive ownership of custom-developed code and designs
- Softech Computers retains rights to reusable code libraries and frameworks
- We reserve the right to showcase completed projects in our portfolio
- Third-party libraries and frameworks remain property of their respective owners
- Clients must have necessary rights to any content provided to us
- We grant no rights to our trademarks, logos, or brand materials
- Unauthorized use of our intellectual property may result in legal action
Service Modifications
- We reserve the right to modify or discontinue services without notice
- Website content may be updated, changed, or removed at any time
- We are not liable for any modifications or discontinuation of services
- Critical service changes will be communicated via email when possible
- Backup services and data export options will be provided before major changes
- Clients will receive reasonable notice for changes affecting active projects
Limitation of Liability
- Softech Computers is not liable for indirect, incidental, or consequential damages
- Our total liability is limited to the amount paid for the specific service
- We do not guarantee uninterrupted or error-free service operation
- We are not responsible for data loss due to circumstances beyond our control
- Clients are responsible for maintaining backups of their data
- Force majeure events release us from contractual obligations
- Time estimates are approximate and not guaranteed unless specified in writing
Project Timelines & Delivery
Project timelines are estimates based on the scope defined at project inception. Delays may occur due to:
- Late or incomplete feedback from the client
- Changes to project scope or requirements
- Technical challenges or third-party service issues
- Force majeure events beyond our reasonable control
We will communicate any anticipated delays promptly and work to minimize impact on project delivery.
Warranty & Support
We provide a 30-day warranty period for bug fixes on delivered projects, starting from the date of final delivery and client acceptance. This warranty covers:
- Bugs and errors in the delivered code
- Features not working as specified in the agreed requirements
- Security vulnerabilities in our custom code
Extended support and maintenance packages are available separately. New feature requests, scope changes, and enhancements are not covered under the warranty and will be quoted separately.
Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the course of the project. This includes:
- Business strategies, plans, and financial information
- Technical specifications, source code, and algorithms
- Customer data, user information, and analytics
- Any information marked as confidential or reasonably considered confidential
Termination
Either party may terminate the agreement with written notice if:
- The other party breaches any material term and fails to remedy within 14 days
- The other party becomes insolvent or enters bankruptcy proceedings
- Mutual agreement is reached to terminate the project
Upon termination, the client will pay for all work completed up to the termination date. All materials and intellectual property will be delivered upon full payment.
Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India. Both parties agree to attempt to resolve disputes through good-faith negotiation before pursuing legal action.
